Client Service Agreement
Effective Date: May 23, 2026
This Client Service Agreement (“Agreement”) is entered into between Striva Systems (“Company,” “we,” “our,” or “us”) and the client (“Client,” “you,” or “your”) for the purpose of providing digital marketing, website, automation, CRM, and communication services.
By purchasing, subscribing to, or using services provided by Striva Systems, the Client agrees to the following terms.
1. Services Provided
Striva Systems may provide services including but not limited to:
- Website design and development
- CRM setup and management
- GoHighLevel system setup
- SMS and email automations
- Missed-call text back systems
- Automated review requests
- Calendar and booking systems
- Payment integrations
- Webchat widgets
- Business workflow automations
- Funnel and landing page creation
Services may be updated, modified, expanded, or improved at any time.
2. Client Responsibilities
The Client agrees to:
- Provide accurate business information
- Provide timely communication and approvals
- Supply requested materials, branding, and content
- Ensure all customer communications comply with Canadian laws and regulations
- Obtain customer consent before sending SMS or email communications
The Client is fully responsible for the legality of their business operations, marketing practices, and customer communications.
3. A2P Messaging Compliance
To enable SMS automation services, carriers and communication providers may require A2P (Application-to-Person) verification.
The Client agrees to provide accurate information when requested, including:
- Legal business name
- Business registration number
- Licensing IDs where applicable
- GST/PST information where applicable
- Authorized business phone numbers
- Business contact information
This information may be submitted to third-party verification providers and communication carriers for legal compliance purposes.
Failure to provide accurate information may result in:
- Delayed setup
- Rejected messaging approval
- Suspension of SMS services
- Restricted automation functionality
Striva Systems is not responsible for carrier filtering, rejected campaigns, or messaging restrictions caused by inaccurate information or lack of customer consent.
4. Payments & Billing
Clients agree to pay all invoices, subscription fees, setup fees, and recurring service charges on time.
Failure to make payments may result in:
- Suspension of services
- Website downtime
- Automation shutdown
- Removal of hosted systems
- Restricted account access
All payments made to Striva Systems are non-refundable unless otherwise agreed in writing.
5. Project Timelines
Project timelines depend on the Client providing requested information, approvals, and materials in a timely manner.
Striva Systems is not responsible for delays caused by:
- Missing client information
- Delayed communication
- Third-party platform issues
- Hosting or domain delays
- Approval delays
6. Third-Party Platforms
Striva Systems utilizes third-party software and services including GoHighLevel and related providers.
We are not responsible for:
- Third-party outages
- Software bugs
- Carrier filtering
- Service interruptions
- Policy changes
- Platform limitations
- External pricing changes
Use of third-party platforms is subject to their own terms and policies.
7. No Guaranteed Results
While Striva Systems strives to improve business performance and customer communication, we do not guarantee:
- Specific revenue increases
- Lead generation results
- Search engine rankings
- Customer conversion rates
- Business growth outcomes
Results may vary depending on the Client’s industry, operations, competition, marketing efforts, and other external factors.
8. Limitation of Liability
To the maximum extent permitted by Saskatchewan and Canadian law, Striva Systems shall not be liable for:
- Lost profits
- Lost revenue
- Lost business opportunities
- Missed leads
- Customer disputes
- Data loss
- Service interruptions
- Indirect or consequential damages
- Carrier filtering or blocked SMS messages
- Platform outages or automation failures
The Client agrees that use of all services is at their own risk.
9. Client Content & Ownership
The Client retains ownership of their logos, business information, branding, and provided content.
Striva Systems retains ownership of:
- Automation systems
- Workflows
- Templates
- Internal processes
- Custom systems
- Website frameworks unless otherwise agreed in writing
Clients may not reproduce, resell, or redistribute Striva Systems systems without written permission.
10. Cancellation & Termination
Either party may terminate services at any time unless otherwise agreed under a separate written contract.
Termination does not remove responsibility for:
- Outstanding invoices
- Active subscription charges
- Completed work already delivered
Striva Systems reserves the right to suspend or terminate services for:
- Non-payment
- Abuse
- Fraudulent activity
- Illegal activity
- Violation of these terms
11. Indemnification
The Client agrees to indemnify and hold harmless Striva Systems from any claims, damages, legal disputes, penalties, or liabilities arising from:
- Client business operations
- Customer communications
- Marketing practices
- SMS or email campaigns
- Violations of applicable laws
- False or inaccurate business information provided by the Client
12. Privacy & Data
Use of services is also governed by the Striva Systems Privacy Policy.
Clients are responsible for ensuring they have proper rights and consent to collect, store, and communicate with customer data.
13. Governing Law
This Agreement shall be governed by the laws of Saskatchewan and applicable Canadian federal laws.
Any disputes arising under this Agreement shall be handled within Saskatchewan, Canada.
14. Acceptance Of Agreement
By purchasing, subscribing to, or using services provided by Striva Systems, the Client acknowledges that they have read, understood, and agreed to this Agreement.
